Associated Entity: Refers to any other individual or group that either directly or indirectly has control over, is controlled by, or is under a common directive with a given organization. This also includes entities that are directly or indirectly wholly owned by the organization in question.
www.Translationsx.com: Also known as the "Agency," it denotes us when using terms like "we," "us," or "our."
Online Portal: Refers to the Agency's digital interface, found at www.Translationsx.com, where Clients and/or Language Professionals can log into their accounts, initiate and/or receive requests, and access various services.
Completed Project: Encompasses any material that has been translated, written, transformed, transcribed, localized or produced by the Agency or its Language Professionals , based on materials and/or requests provided by the Client.
Content: Denotes all varieties of content, from textual data, images, videos, audio segments, posts, feedback, written pieces, to graphics, shared or produced by the Client or their representatives. This content is used for services, and its quality and accuracy influence the final service output.
Request: Any service demand placed by the Client and acknowledged by the Agency. Requests can be made through the www.Translationsx.com website or through written channels such as email.
Assignment: Represents a specific Project which might include translation, transcription, and other services. Assignments can consist of various files, and their pricing varies based on multiple factors.
Compensation: The established payment owed to www.Translationsx.com for availed services as detailed in this terms or related order documents.
Language Professionals : Refers to third-party individuals or entities that collaborate with the Agency, offering services as freelancers, contractors, or similar roles.
Offerings: Encompasses all translations, transcriptions, localizations, interpretation, platform services, and account management provisions provided by the Agency as per these terms.
End-Client: The legal entity or individual engaging with the services by consenting to these terms. If these terms are agreed upon on behalf of another entity, it indicates the legal capacity to commit that entity to the terms.
ACCESSING OUR SERVICES
By agreeing to these terms, www.Translationsx.com grants you a limited, personal, non-transferable license to use our services, including our website, as long as you adhere to the stipulations laid out in these terms. This license is solely for the duration of the agreement and is non-sublicensable. All rights, design, graphics, compilations, information, code, products, software, and other elements related to our services are protected under relevant intellectual property laws. Any rights not explicitly provided here remain reserved by www.Translationsx.com.

Payments for services should be made upfront unless otherwise negotiated.

If clients default on payments, we hold the right to pursue the owed amounts, including any associated costs and legal fees.
Fee structures might be revised at our discretion. All fees are exclusive of taxes/VAT.
By using our services, you grant us a license to translate, interpret, localize, modify, distribute, and reproduce your content. This helps us in providing our services. If contents are shared with other clients, you grant them access rights as well. All responsibilities related to shared contents and materials rest with the client. Ensure that you have the required rights to share contents and that any dues associated with them are settled.
- Content Limitations: Clients must refrain from sharing content that:
- Misrepresents or violates consumer protection regulations.
- Infringes on third-party rights unless they have express ownership.
- Poses risks to public safety or national security.
- Attempts to impersonate another individual.
- Promotes illegal activities or items, including but not limited to, weapons and narcotics.
- Is harmful in nature, be it defamatory, discriminative, or pornographic.
- Pertains to theft, fraud, or terrorism.
- Company’s Discretionary Rights: www.Translationsx.com may adjust, pause, or end any part of its services for any client at any time without prior notice. Content violations could lead to removal or restricted access.
- Ownership of Shared Content: All content uploaded by clients remains their sole property. It’s the client's duty to manage their content and interactions on the platform.
- Data Handling: www.Translationsx.com can use aggregated, anonymous data from client interactions for its business enhancements. This data is non-identifiable.
- Service Redistribution: Clients should not redistribute or sell our translation and transcription services without our explicit written approval.
- Legitimate Use of Services: Clients should utilize our services and website according to lawful and commercial standards..
- Misuse of the Website/portal: The core purpose of our website is to facilitate translation, localization and transcription services. Unauthorized misuse or data collection will be met with legal actions.
- Liability and Indemnification: Clients must indemnify Translationsx.com and its stakeholders against any damages, costs, or legal complications stemming from their activities or any violations on the platform.
- Exposure to Contents: Clients may come across inappropriate or offensive materials. While www.Translationsx.com takes precautions, we are not responsible for all content uploaded by clients or unauthorized third parties.
- Liability and Indemnification: Clients must indemnify Translationsx.com and its stakeholders against any damages, costs, or legal complications stemming from their activities or any violations on the platform.
- Platform Oversight: While www.Translationsx.com occasionally monitors public site areas, it does not control every communication. Clients bear responsibility for their interactions on the platform.
- Liability and Indemnification: Clients must indemnify Translationsx.com and its stakeholders against any damages, costs, or legal complications stemming from their activities or any violations on the platform.
- Automated Interactions and Multiple Accounts: Clients should avoid employing robots or automated systems on our site or creating multiple accounts to sidestep penalties.
- Branding Use: Translationsx.com might use client names, trademarks, or logos for marketing and service delivery.
- Service Providers including Language Professionals: Providers should be aware that their engagement with www.Translationsx.com comes with additional terms, including an NDA, pertinent to their role and responsibilities.
GUARANTEES, LIABILITY RESTRICTIONS, AND INDEMNIFICATION
Usage at Own Discretion: When utilizing or providing our services, understand that you're doing so at your sole discretion. The Agency and its associates don't guarantee a seamless or error-free experience. The accuracy, reliability, or timeliness of content provided via our services is not ensured.
Service Provision: Our services are offered "as is." The Agency, to the fullest extent permitted by law, denies all implicit or explicit representations or warranties associated with the information, services or materials—including their marketability, suitability for a specific purpose, and non-infringement.
Content Responsibility: The Agency doesn't endorse, guarantee, or vouch for any content in materials, shared content, or translated/localized/transcribed works. If disagreements arise with any client regarding content or interactions on the website, the Agency is free from any resultant claims or damages. While we may oversee such disagreements, we're not obligated to.
Liability Constraints: The Agency's liability, be it from service use, account suspension, or service termination, is strictly limited to the total fees the client paid for the services.
Time Limitation for Claims: Any related claims or causes of action must be initiated within 28 days of occurrence, or they will be permanently barred.
Indemnification: In situations arising from a breach of these terms, inability to use our website or content submission, you commit to shield and safeguard the Agency and its affiliates against all related costs, claims, and damages.
DURATION AND CONCLUSION
These Terms kick off the moment you register for an Account on the Website. For any reason or none at all, clients can end this Agreement by providing a 90 days written notice. If terminated, the client must immediately settle all outstanding balances with the Agency, plus any other impending charges related to the Services.
The Agency retains the right to conclude the Agreement for any reason. Should either party significantly breach this Agreement, the party not at fault can terminate by giving written notice, provided the erring party doesn't rectify the breach within 30 days of receiving the notice.
Upon termination, the Agency isn't liable to the client or any third party for ending the Services or restricting account access.
DELEGATION
You can't transfer your rights or duties from this Agreement without the Agency's written approval. Any such attempts will be void. The Agency, however, can transfer this Agreement at its discretion without needing approval.
COMPLETE AGREEMENT, GOVERNING LAWS, AND JURISDICTION
This Agreement is the entire understanding between both parties and overrules any former communications or contracts. Amendments require written agreement from both sides. If any part of this Agreement is found void, the rest remains active.
The Agreement abides by UK laws. Disagreements or legal actions linked to this Agreement will exclusively be settled in competent UK courts. The winning party in any such disputes is entitled to recover their costs, including legal fees.
CONFIDENTIALITY
Intellectual property rights of the offered Service are transferred to the client. Clients must maintain the integrity of their content and materials and the ones given as part of the Service. During Service provision, the Agency might share client materials with its Service Providers, language professionals and staff. Clients should omit any confidential information they don't want disclosed.
The Non-Disclosure Agreement and Privacy Policy are central to this Agreement. Continual use of the Services or Website implies agreement with the NDA and Privacy Policy. The Agency prioritizes honoring copyright and intellectual property rights and will address any valid copyright infringement concerns.
PROPRIETARY RIGHTS
The content found on the Website, from text to graphics, and the distinctive trademarks or logos are owned by the Agency or its licensors, protected under intellectual property laws. The Agency's specific marks are its exclusive property. Other trademarks or logos appearing on the Website belong to their respective owners. Rights to the Website not explicitly granted are reserved by the Agency. Any unauthorized use, modification, or reproduction is prohibited. Retaining all proprietary indicators is mandatory when downloading or printing any content.
EXTERNAL CONTENT AND LINKS
The Agency lets clients access content from external sources ("Third Party Content") not under the Agency's purview. This also extends to engagement with third-party websites and our partners. The Agency has no control or affiliation with these third-party entities and isn't accountable for their actions, content, or policies. Engaging with these external sources is at the client's risk. The Agency doesn't endorse or take responsibility for the accuracy or safety of Third-Party Content. Interaction and reliance upon such content are at the Client's discretion. By using the Website, Clients might encounter inappropriate or inaccurate Third-Party Content. Any concerns with these third parties should be addressed directly to them.
INFORMATION REVELATION
The Agency has the discretion to access and disclose information associated with the Website, based on reasons like compliance with laws, upholding Website terms, addressing security concerns, or safeguarding the Agency's interests and the public.
PROTECTING SENSITIVE INFORMATION
While delivering services, the service providers/language professionals may encounter confidential details from the Agency or third-party entities. Such information falls under a Non-Disclosure Agreement ("NDA"), whose terms are integral to this Agreement. If a third party raises a claim related to the services or due to the Client's breach of this Agreement, the client is responsible for all resulting consequences. This responsibility persists even after the Agreement ends.
AGREEMENT OPENNESS
This Agreement doesn't limit the Agency. The Agency retains the right to collaborate with third parties for services similar to those provided under this Agreement.
NO POACHING
During the engagement period with the Agency and for 12 months post-conclusion, the client agrees not to directly or indirectly recruit or engage any of the Agency's service providers/language professionals. Furthermore, they shall not persuade any service providers/language professionals or suppliers of the Agency to cease or alter their association with the Agency.
